These Terms of Use ("Terms") apply to your use of TakeoverWork at https://takeoverwork.com, including its listings, messaging, free tools and any related emails or notifications (together, the "Service"). The Service is operated by the site owner, an individual based in India ("we", "us", "our"). By creating an account or using the Service you agree to these Terms. If you do not agree, please do not use the Service.

1. Our role

We provide a marketplace for discovery and communication. We do not employ, supply, supervise or guarantee providers. We do not set or collect project payments. Users are responsible for independently verifying skills, scope, pricing, agreements and applicable laws.

In practice this means:

  • A "Customer" is a person or organisation who posts a software project that has already started (a "Takeover Job" or "listing").
  • A "Provider" is a developer, freelancer, studio, agency or company that finds listings and contacts Customers.
  • Any agreement to do work is made directly between a Customer and a Provider. We are not a party to that agreement, we do not act as an agent for either side, and we are not responsible for whether it is performed.
  • We do not hold money, offer escrow, take commissions on project fees or resolve payment disputes between users.
  • Badges describe only the specific check stated in their description. They are not a recommendation, endorsement or statement about anyone's skills, honesty or work quality.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Service. If you use the Service on behalf of a business, you confirm that you are authorised to accept these Terms for that business, and "you" includes the business.

You may not use the Service if we have previously suspended or removed your account, unless we have agreed otherwise in writing.

3. Accounts

  • You sign in with an email link or code, Google or GitHub. You are responsible for keeping access to that email or account secure.
  • Give accurate information and keep it up to date. Do not impersonate any person or business.
  • One person may hold one personal account. Agencies and businesses should not create multiple accounts to get around limits.
  • You are responsible for everything done through your account. Tell us at support@takeoverwork.com if you think someone else has accessed it.
  • You can delete your account at any time from your settings. What happens to your data is explained in the Privacy Policy.

4. Listing rules

Every listing must be a genuine takeover of a software project.

  • The work must have already started. There must be existing code, a no-code build, a site or an app. Requests to build something from scratch are not allowed and will be declined or removed.
  • Describe the project honestly: what works, what is broken or blocked, and what remains. Completion estimates are your own approximate estimate.
  • Describe the situation, not the people. Do not name or blame a previous developer, agency or employee.
  • Do not include phone numbers, email addresses, messaging handles or other contact details in listing text. They are hidden automatically.
  • Never include passwords, API keys, private keys, connection strings or other secrets in a listing, screenshot, attachment or message.
  • Screenshots and attachments must not show keys, tokens or other people's personal or customer data.
  • You must have the right to share everything you upload, and the right to hand over or arrange work on the project you describe.
  • Do not post duplicate listings for the same project.
  • Listings expire after a fixed period unless renewed, and may pause new interest once a set number of Providers have responded.

5. Conduct

When you use the Service you must not:

  • break any law that applies to you or to the other user;
  • harass, threaten, abuse or discriminate against anyone;
  • send spam, bulk unsolicited messages or copy-and-paste interest notes that do not relate to the listing;
  • mislead anyone about who you are, your experience, your business or the state of a project;
  • ask another user for passwords, one-time codes, API keys or other credentials;
  • pressure anyone to move off the platform before contact details have been approved by both sides;
  • include prices, bids or quotes in interest notes (interest notes carry an approach, experience, availability and an effort band, never a price);
  • try to get around contact masking, rate limits, Turnstile checks or other safety features;
  • scrape, copy or bulk download listings, profiles or messages, except through features we provide;
  • upload malware, or try to break, overload or gain unauthorised access to the Service or any user's systems;
  • use the Service to collect other users' personal data for unrelated purposes;
  • post fake reviews, or offer or accept anything in exchange for a review.

6. Prohibited items

Some projects and activities are never allowed, including academic work done for someone else, account takeover or credential access, hacking or security bypass, fake reviews or engagement, adult content, gambling, weapons or drugs, crypto schemes or multi-level marketing, and clones designed to infringe trademarks. 7. Messages and contact details

  • Messages between users are sent through the Service. Before both sides approve a contact request, phone numbers, email addresses and messaging handles in messages are replaced with a notice.
  • Contact details are shared only by mutual approval. Either user can request them and the other user decides whether to approve.
  • Messages that appear to contain passwords, keys or other secrets may be blocked.
  • Messages are private between participants, but we may review them when they are reported, flagged by automated checks, or needed to investigate abuse, fraud or a legal request. See the Privacy Policy.
  • You can block another user at any time.

8. Free tools

The Service includes free tools such as the Repo Health Check, Secret Leak Scanner, Supabase RLS Checker, Dependency Freshness Check, Production Readiness Checklist, Project Handover Checklist Generator, Rescue Effort Estimator and AI Takeover Listing Writer.

  • The tools are provided "as is" and "as available", without warranties of any kind.
  • Results are guidance only. They are not a security audit, legal advice or a professional quote, and we do not guarantee that they are complete, accurate or suitable for your purpose. A tool may miss problems or flag things that are not problems.
  • Effort estimates are rough bands, not prices or promises.
  • Most tools run in your browser. Some call third-party services or our server, as explained in the Privacy Policy. Do not paste personal data or live secrets into any tool unless the page says it runs locally, and rotate any key you think may have been exposed.
  • Fair-use limits apply, especially to the AI Takeover Listing Writer.

9. Your content and our licence to use it

You keep ownership of the content you post, including listings, profiles, portfolio items, questions, answers, reviews and messages ("your content").

You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, display, format, resize, translate and distribute your content as needed to run, improve and promote the Service. This includes showing listings and public profiles on the site, in search results, in email alerts and digests to other users, and in posts about new takeovers on our own channels. Messages are used only to deliver them to the other participants and for the safety purposes described in section 7.

This licence ends when you delete the content or your account, except for copies held in backups for a limited time, content that other users have already received (such as messages and alerts), and records we must keep by law.

You confirm that your content is accurate, that you have the rights needed to post it, and that it does not break these Terms or anyone else's rights.

10. Moderation and removal

We may review, edit for formatting, hide, refuse or remove any content, and may pause a listing for review, if we believe it breaks these Terms, the Community Guidelines or the law, or puts users at risk. Automated checks can flag content, but a person makes the final decision on removals.

If we remove your content we will usually tell you why. If you think we got it wrong, reply to the notice or contact the Grievance Officer.

You can report a listing, profile, message or review with the Report button. We aim to acknowledge reports within 24 hours and resolve them within 15 days.

11. Suspension and termination

We may restrict, suspend or close your account, with or without notice, if you break these Terms, if we are required to by law, or if we reasonably believe your use of the Service creates risk or harm for other users or for us. Where it is safe and lawful to do so, we will tell you the reason.

You may stop using the Service and delete your account at any time. Sections that by their nature should continue after termination, including sections 9, 13, 14, 15 and 16, continue to apply.

We may change, pause or stop any part of the Service, including free tools, at any time.

The Service links to and relies on third-party services, such as GitHub, Google and payment providers. Their own terms apply when you use them, and we are not responsible for them. Some links are affiliate links, as explained on our Affiliate Disclosure page. Ads are provided by Google and we do not endorse the advertised products.

13. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent allowed by law, we make no warranties, express or implied, about the Service, including fitness for a particular purpose, availability, accuracy or non-infringement.

We do not guarantee that any listing will receive interest, that any Provider is qualified or available, that any project will be completed, or that any information posted by users is true. Users are responsible for their own decisions, agreements, payments, tax and legal obligations.

14. Limitation of liability

To the fullest extent allowed by law:

  • we are not liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, data, goodwill or business opportunity;
  • we are not liable for anything done or not done by another user, including work quality, delays, non-payment, disputes, fraud, data loss or security incidents arising from an arrangement between users;
  • our total liability to you for all claims related to the Service is limited to the greater of the amount you paid us for paid products in the 12 months before the claim, or INR 5,000.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.

15. Indemnity

You agree to compensate us for, and protect us against, claims, losses, costs and reasonable legal fees arising from your content, your use of the Service, your dealings with other users, or your breach of these Terms or of any law or third-party right. This does not apply to the extent a loss was caused by our own breach of these Terms.

16. Governing law and disputes

These Terms are governed by the laws of India. Subject to the next paragraph, the courts of India have exclusive jurisdiction over any dispute arising from these Terms or the Service.

If you are a consumer living in another country, you may also have the benefit of mandatory consumer protection laws of that country and may be able to bring a claim in your local courts.

Before starting any formal claim, please contact us at hello@takeoverwork.com so we can try to resolve the issue informally.

17. Changes to these Terms

We may update these Terms from time to time. The date at the top shows the latest version. If a change is significant, we will give at least 14 days' notice by email or on the site before it takes effect, unless the change is needed sooner for legal or safety reasons. If you keep using the Service after a change takes effect, the new Terms apply.

18. General

If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a right straight away, we can still enforce it later. You may not transfer your rights under these Terms without our consent. We may transfer the Service and these Terms to a successor, such as a company the operator sets up to run the Service, and will tell you if we do.
